Agreement Acceptance

By engaging GROPHIX Design & Construction Ltd (RC: 1949428) for any services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

Services Description

GROPHIX Design & Construction Ltd provides the following services:

• Building Construction (Residential, Commercial, Industrial)
• Architecture and Design Services
• Civil Engineering and Infrastructure
• Project Management and Consultation
• Renovation and Landscaping
• Real Estate Development
• 3D Visualization and Planning

Contract Terms

Project Agreements

• All projects require a signed written agreement before commencement
• Project specifications, timelines, and costs must be agreed upon in writing
• Changes to project scope require written approval and may affect pricing
• Client approval is required at specified project milestones

Payment Terms

1. Initial Deposit: 30% of project value upon contract signing
2. Progress Payments: As outlined in project agreement
3. Final Payment: Due upon project completion and handover
4. Late Payments: Subject to 2% monthly interest charge

Client Responsibilities

Clients are responsible for:

• Providing accurate project information and requirements
• Obtaining necessary permits and approvals (unless specified otherwise)
• Ensuring site access and utilities availability
• Making timely payments as per agreed schedule
• Providing clear decision-making authority
• Complying with all applicable laws and regulations
• Maintaining adequate insurance coverage

Company Responsibilities

GROPHIX Design & Construction Ltd commits to:

• Delivering quality work according to agreed specifications
• Adhering to project timelines (subject to unforeseen circumstances)
• Maintaining professional standards and best practices
• Ensuring compliance with building codes and safety regulations
• Providing skilled and qualified personnel
• Using quality materials from approved suppliers
• Maintaining appropriate insurance and bonding

Warranties and Guarantees

Workmanship Warranty

• Structural Work: 2 years from completion
• Finishing Work: 1 year from completion
• Electrical/Plumbing: 1 year from completion
• Landscaping: 6 months from completion

Material Warranties

Material warranties are provided by manufacturers and transferred to clients upon project completion.

Limitation of Liability

GROPHIX Design & Construction Ltd's liability is limited to:

• Direct damages resulting from our negligent performance
• Maximum liability not exceeding the total project value
• Warranty repairs and replacements as specified

Exclusions

We are not liable for:

• Delays caused by client, authorities, or force majeure events
• Consequential or indirect damages
• Issues arising from client-supplied materials or specifications
• Normal wear and tear beyond warranty period

Dispute Resolution

Resolution Process

1. Direct Discussion: Initial attempt to resolve through communication
2. Mediation: Neutral third-party mediation if needed
3. Arbitration: Binding arbitration under Nigerian law
4. Court Jurisdiction: Federal High Court of Nigeria (if necessary)

Force Majeure

Neither party shall be liable for delays or failure to perform due to circumstances beyond reasonable control, including:

• Natural disasters, extreme weather conditions
• Government actions, regulatory changes
• Labor disputes, strikes
• Material shortages, supply chain disruptions
• Pandemics or health emergencies
• Acts of terrorism or civil unrest

Intellectual Property

• Architectural designs and plans remain property of GROPHIX until full payment
• Clients receive usage rights upon project completion
• Company retains rights to use project images for marketing purposes
• All proprietary methods and processes remain company property

Contract Termination

Termination by Client

• 30-day written notice required
• Payment for all completed work and committed costs
• Settlement of outstanding invoices

Termination by Company

• Non-payment after 30-day notice period
• Material breach of contract terms
• Safety violations or site access issues

Governing Law

These terms are governed by the laws of the Federal Republic of Nigeria. All disputes shall be subject to the jurisdiction of Nigerian courts.
